Dubai Company Formation Process

مرحله بعدی
  • 1 . Choose the Company’s Business Activity

First, the company’s business activity must be determined, as the type of activity defines which license is required and whether approval from specialized authorities is necessary. The selected activity should accurately reflect the services or products the company actually provides.

  • 2 . Choose Mainland or Free Zone

Next, you need to choose between Mainland and Free Zone company formation in Dubai. Mainland is generally more suitable for businesses operating directly in the UAE market, while Free Zones are selected based on the industry, location of operations, and licensing requirements.

  • 3 . Choose the Company’s Legal Structure

The legal structure is determined based on the number of shareholders, business activity, and jurisdiction. Depending on the application, available structures may include a Limited Liability Company (LLC), a single-shareholder or multi-shareholder Free Zone company, or a branch of a foreign company.

  • 4 . Choose and Reserve a Trade Name

To proceed with company formation in Dubai, the proposed trade name must be checked and reserved through the relevant system. The selected name must comply with Dubai’s naming regulations and must not conflict with existing registered names or names subject to legal restrictions.

  • 5 . Obtain Initial Approval

Shareholders’ identification documents, company information, and the proposed business activity are submitted to obtain Initial Approval. This approval does not constitute the final license, but it allows the company formation process to proceed and the remaining documents to be prepared.

  • 6 . Complete the Documents and Obtain Required Approvals

At this stage, the incorporation agreement, documents relating to the business premises, and other required documents are completed. Certain activities, such as financial, healthcare, educational, or transportation services, may also require approval from the relevant specialized authority before the license can be issued.

  • 7 . Pay the Fees and Receive the Trade License

Once the documents are approved and the Dubai company formation fees are paid, the Trade License is issued and the company can begin operating legally. If required, the immigration file, residency, Emirates ID, and corporate bank account procedures can then be pursued.

Dubai Company Formation Requirements and Regulations

  • Dubai Company Formation Requirements
  • Dubai Company Formation Regulations

Select an Approved Business Activity

To set up a company in Dubai, the company’s business activity must be selected from the activities approved by the licensing authority. The type of activity determines whether the company requires a Commercial, Professional, or Industrial License and whether approval from another authority is also required. The registered activity must correspond to the services or products offered by the company.

Choose the Appropriate Legal Structure

The applicant must choose a legal structure based on the number of shareholders, the business activity, and the extent of the partners’ liability. Available options include a Limited Liability Company (LLC), a single-owner company, a branch of a foreign company, and other permitted structures. The chosen legal structure directly affects shareholder liability, registration documents, and company management.

Choose and Approve a Trade Name

The company must have an approved trade name and reserve it with the relevant authority. The selected name must comply with Dubai’s naming regulations, and certain words or specific names may be subject to restrictions or additional approvals. Trade Name reservation is one of the official steps in obtaining a company license.

Obtain Initial Company Approval

To continue the registration process, information about the shareholders, managers, and business activity is submitted together with the required identification documents to obtain Initial Approval. Initial Approval does not mean that the final license has been issued; it confirms that the registration authority allows the company formation process to continue, including subsequent steps such as securing business premises and submitting company documents.

Secure the Company’s Business Premises

Depending on the business activity and jurisdiction, the company must have business premises or workspace that complies with the licensing authority’s requirements. For Mainland companies, documents relating to the business premises may be required. In Free Zones, the type of office, shared workspace, or Flexi Desk is determined according to the regulations of the relevant Free Zone and the number of visas required.

Obtain Specialized Approvals

Not all business activities can be established solely with approval from DET or a Free Zone authority. Certain regulated sectors, including financial services, healthcare, education, transportation, and other supervised activities, require approval from the relevant specialized authority. Therefore, before paying Dubai company formation fees, it should be determined whether the selected activity requires any additional permits.

Foreign Company Ownership Regulations

Most business activities in Dubai currently allow 100% foreign ownership, and the former general requirement to allocate 51% of the shares to an Emirati partner no longer applies. However, certain activities and sectors with strategic impact remain subject to separate restrictions and approvals. Therefore, the possibility of setting up a company in Dubai without a local sponsor should be assessed based on the company’s exact business activity.

UAE Commercial Companies Law

Commercial companies are subject to Federal Decree-Law No. 32 of 2021 on Commercial Companies and its subsequent amendments, including the 2025 amendments. This law regulates matters such as company structure, shareholder liability, management, capital, accounts, and directors’ powers. Accordingly, the company’s Articles of Association and structure must comply with the legal requirements applicable to its specific legal form.

Ultimate Beneficial Owner (UBO) Registration Regulations

Companies subject to the regulations must register and keep up to date information about their Ultimate Beneficial Owner (UBO), partners, and shareholders. Under Cabinet Decision No. 109 of 2023, the required information must be provided to the Registrar upon incorporation and in cases such as company renewal or changes, and updates to the relevant records must be filed within the specified deadlines.

Corporate Tax Regulations

Companies subject to Corporate Tax must register with the Federal Tax Authority and obtain a tax registration number. Under the UAE’s general Corporate Tax regime, Taxable Income up to AED 375,000 is taxed at 0%, while the amount above this threshold is taxed at 9%. Free Zone companies can benefit from the 0% rate on Qualifying Income only if they meet the requirements of a Qualifying Free Zone Person.

Value Added Tax (VAT) Regulations

If the value of taxable supplies and imports of a UAE-resident business exceeds AED 375,000 during the previous 12 months, or is expected to exceed this threshold within the next 30 days, VAT registration becomes mandatory. The standard VAT rate in the UAE is 5%, and voluntary registration is available from the AED 187,500 threshold.

Accounting and Financial Record-Keeping Regulations

Under the Commercial Companies Law, companies must maintain accounting records in a manner that allows their financial position to be reviewed, and these records must be retained for at least 5 years after the end of the financial year. LLCs and joint-stock companies must also prepare annual accounts, and the law provides for annual audits. Corporate Tax regulations additionally require relevant tax records to be retained for at least 7 years.

Company formation in Dubai is not merely a pathway to residency for entrepreneurs seeking access to the UAE market, international trade, banking infrastructure, and one of the region’s most active business ecosystems. It is a legal and commercial decision that should be made based on the type of business activity, target market, budget, and long-term business development plans.

Contrary to common belief, many business activities no longer require 51% of the company to be owned by an Emirati partner, and foreign investors can have full ownership of their companies. However, choosing the wrong structure among Mainland, Free Zone, and Offshore can affect operating costs, access to the local market, taxation, visa eligibility, and even the ability to open a corporate bank account.

This guide examines the requirements, Dubai company formation process, costs, taxation, residency options, company structures, and key considerations Iranian investors should understand before proceeding, based on information from official UAE government sources, the Dubai Department of Economy and Tourism, and the UAE Federal Tax Authority.

How Does Company Formation in Dubai Work?

If we want to give a short answer to the question “How do you set up a company in Dubai?”, the general process involves choosing the company’s jurisdiction, determining the business activity and legal structure, reserving a trade name in Dubai, obtaining initial approval, submitting the founders’ documents, securing the required business address or workspace, obtaining any necessary specialized approvals, and finally receiving the Trade License.

The official Dubai government portal follows the same general process for Mainland companies: first, the license type and legal structure are selected. Foreign ownership requirements and any additional permits are then reviewed. After the required documents are submitted, the applicant obtains initial approval, reserves the trade name, and receives the final business license.

However, there is no single structure that works for every applicant. For example, a single-shareholder digital consulting company, an import-export trading company, a restaurant, a construction company, and a financial services business cannot necessarily operate under the same structure and license.

For this reason, one of the most important decisions before setting up a company in Dubai is determining the company’s actual business model and activities.

Why Is Dubai an Attractive Destination for Company Formation?

Dubai’s appeal is not limited to residency opportunities or its relatively low corporate tax rate. In recent years, the city has become one of the region’s major centers for trade, technology, logistics, investment, and professional services.

According to the Dubai Chambers annual report, Dubai’s economy grew by approximately 4.7% during the first nine months of 2025, with GDP reaching AED 355 billion. During the same year, 71,830 new companies joined the Dubai Chamber of Commerce, bringing the total number of active members to 292,486 by the end of the year.

Across the UAE, foreign direct investment inflows reached USD 45.6 billion in 2024, representing an increase of approximately 48.7% compared with 2023.

These figures demonstrate that company formation in the UAE is not attractive solely because of residency benefits. The UAE market itself, along with its connections to the Middle East, Asia, Africa, and Europe, is one of the main reasons international businesses establish operations in the country.

In practical terms, setting up a company in Dubai can provide benefits such as foreign ownership, the ability to enter into international contracts, access to logistics and trade infrastructure, eligibility to apply for residency when the relevant requirements are met, the ability to hire employees, and the opportunity to establish a business track record in the UAE.

However, none of these advantages guarantees sales, bank account approval, or business profitability. Commercial success still depends on the business model and compliance with applicable legal requirements.

Types of Company Formation in Dubai: Mainland, Free Zone, or Offshore?

One of the most important decisions when considering the different types of company formation in Dubai is choosing the company’s jurisdiction.

Three main structures are commonly considered by foreign investors in Dubai: Mainland, Free Zone, and Offshore. Establishing a branch of a foreign company is another option for businesses that already operate in another country.

    Mainland Company Formation in Dubai

A Mainland company operates under a license issued by the Dubai Department of Economy and Tourism – DET.

This structure is suitable for businesses that intend to operate directly within the Dubai and UAE local markets, establish a retail location or operational office, enter into contracts with local customers, or participate in certain government projects.

Foreign ownership regulations have undergone significant changes in recent years. The UAE government confirms that the previous general requirement for at least 51% of many Mainland companies to be owned by an Emirati national has been removed.

Foreign investors can now own up to 100% of companies engaged in many business activities. However, certain activities considered to have strategic impact remain subject to specific regulations and approvals.

Therefore, if your primary objective is to sell products or services within the UAE, establish an operational office, or expand extensively within the local market, a Mainland structure should generally be considered carefully.

Free Zone Company Formation in Dubai

Free Zones are independent economic jurisdictions, each with its own regulations, licensing framework, and business community. According to Dubai’s official government portal, more than 20 Free Zones operate within the emirate.

DMCC, Dubai Airport Freezone, Dubai Silicon Oasis, and Meydan Free Zone are examples of well-known Free Zones in Dubai. However, choosing a Free Zone should not be based solely on which one offers the cheapest license.

Dubai Free Zone company formation can generally be considered for online service companies, consulting businesses, international trading companies, technology businesses, companies involved in exports and imports from Dubai, digital agencies, and businesses that do not have a significant need for an independent physical office in the Mainland.

Foreign ownership under this structure can reach 100%, and some Free Zones allow companies to be established entirely through digital processes.

For example, in 2026, Meydan Free Zone offers its basic license starting from AED 12,500 and provides an online company formation process.

However, it is incorrect to assume that every Free Zone company is automatically exempt from all taxes. This issue is discussed in greater detail in the taxation section below.

Offshore Company Formation in the UAE

An Offshore company is primarily used for purposes such as asset ownership, holding structures, certain international activities, and holding shares in other companies.

Such companies are generally not designed to conduct direct commercial activities within the UAE domestic market.

For this reason, if the applicant’s objective is to obtain residency and establish an operational business in Dubai, an Offshore company is generally not a direct alternative to a Mainland or Free Zone company.

Establishing a Branch of a Foreign Company in Dubai

If you already operate an active company in Iran or another country, it may not always be necessary to establish a completely new legal entity. Under certain circumstances, a Branch of Foreign Company can be established.

The UAE Ministry of Economy states that establishing a foreign company branch requires documents such as a resolution from the parent company’s board of directors, corporate registration documents and Articles of Association, details of the branch manager, and approvals related to the company’s activities.

Foreign documents must also be authenticated and legalized in accordance with UAE requirements.

This structure is generally more suitable for companies that want to maintain the brand and legal identity of their parent company while formally extending its operations into the UAE market.

Is It Possible to Set Up a Company in Dubai Without an Emirati Sponsor?

Yes. Company formation in Dubai without an Emirati sponsor or partner is possible for many business activities.

Under the UAE’s foreign ownership regulations, foreign investors can establish Mainland companies with full ownership in many economic activities.

The UAE Ministry of Economy has also stated that an individual or legal entity may own a single-shareholder LLC.

However, the phrase “company formation in Dubai without a sponsor” should not be interpreted to mean that every business activity is unrestricted.

Activities such as banking, currency exchange, financing, insurance, telecommunications, security and defense sectors, and certain strategic activities are subject to specific regulations. Foreign ownership limits and licensing requirements for these activities are determined by the relevant regulatory authorities.

Therefore, the exact Business Activity Code should be reviewed before selecting a company structure rather than making a decision based solely on broad descriptions such as “trading company” or “service company.”

What Type of Company Should You Set Up in Dubai?

The appropriate business activity for company formation in Dubai should be selected based on the target market, revenue model, and the company’s need to operate within the UAE domestic market.

Official statistics indicate that trade, technology, tourism, services, and logistics are among Dubai’s active economic sectors, each offering different opportunities for foreign investors.

    Trading Company Formation in Dubai

Trading company formation in Dubai is suitable for businesses involved in buying and selling goods, importing, exporting, and product distribution.

The wholesale and retail trade sector represented approximately 23% of Dubai’s economy in the first quarter of 2025, reaching a value of AED 27.5 billion. Trade therefore remains one of the emirate’s major economic sectors.

    Service Company Formation in Dubai

Service company formation in Dubai can be considered for activities such as business consulting, marketing, design, corporate services, and other professional services.

In 2025, 71,830 new companies joined the Dubai Chamber of Commerce, bringing the number of active members to more than 292,000. This reflects the scale of Dubai’s B2B market and private-sector activity.

    Technology Company Formation in Dubai

Setting up a technology company in Dubai can be an attractive option for software businesses, artificial intelligence companies, SaaS businesses, and digital startups.

In 2025, the Dubai Chamber of Digital Economy supported the establishment or expansion of 1,690 digital startups, representing growth of 39.7% compared with the previous year. Approximately 15% of these companies operated in the artificial intelligence sector.

    E-Commerce Company Formation in Dubai

E-commerce company formation in Dubai is suitable for online stores, digital platforms, and businesses selling products or services through the internet.

According to Dubai Chamber statistics, companies operating in e-commerce, SaaS, and Mobility Tech collectively represented approximately 20% of the digital startups supported by the organization in 2025.

    Tourism Company Formation in Dubai

Tourism company formation in Dubai can be suitable for businesses operating tours, travel services, tourism activities, and services related to the hospitality industry. However, these activities require the relevant specialized licenses.

Dubai welcomed 19.59 million international overnight visitors in 2025, representing an increase of approximately 5% compared with 2024.

    Logistics Company Formation in Dubai

Logistics company formation in Dubai can be considered for transportation, warehousing, supply chain operations, and services related to international trade.

Dubai’s transportation and storage sector recorded 2% growth during the first quarter of 2025.

In 2025, the value of exports to Dubai and re-exports by Dubai Chamber members reached a record AED 356.5 billion, highlighting the significant volume of trade flowing through Dubai.

Types of Licenses for Company Formation in Dubai

Dubai’s official government portal identifies five main types of licenses for Mainland businesses.

    • Commercial License: Used for a broad range of activities involving the buying and selling of goods and services, imports and exports, logistics, software, construction, and real estate.
    • Professional License: Intended for individuals and businesses providing specialized services based on professional knowledge, expertise, or skills.
    • Industrial License: Used for manufacturing, processing, packaging, and other industrial operations.
    • E-Trader License: Designed for certain individual business activities and commerce conducted through social media and online platforms. Eligibility and conditions should be reviewed according to the applicant’s circumstances.
    • Dual License: Under certain conditions, this allows companies established in specific Free Zones to extend the scope of their activities into the Mainland.

How Much Does Company Formation in Dubai Cost?

There is no single figure that can answer the question, “How much does it cost to set up a company in Dubai?” for every applicant.

The final cost depends on whether the company is established in a Free Zone or Mainland jurisdiction, the business activity, number of shareholders, number of visas, workspace requirements, external approvals, and additional services.

One official example available in 2026 is Meydan Free Zone, which offers company licenses starting from AED 12,500.

According to the Free Zone’s own information, the basic fee includes the Trade License and Company Registration. However, residency, Medical Test, Emirates ID, and certain immigration services are charged separately.

    Cost Type Status
Basic Meydan Free Zone License Starting from AED 12,500
Company Registration in Meydan Basic Package Included in the basic fee
Three Business Activity Groups in Meydan Included in the basic package
Each Additional Activity Group AED 1,000
    UAE Residency Charged separately
Medical Test and Emirates ID Charged separately
    Immigration Services Depends on requirements
Dedicated Office Rental Depends on location and size
Specialized Approvals Depends on the business activity
Mainland Company Formation Costs Depend on activity, location, structure, and required approvals

Official Meydan information indicates that three business activity groups can be selected as part of the initial package, while each additional activity group costs AED 1,000.

For Mainland companies, Dubai company formation costs should ideally be calculated based on the actual Payment Voucher issued for the specific application.

Providing a fixed price without knowing the business activity, rental requirements, and additional permits can be misleading.

When preparing a budget, annual expenses should also be considered in addition to the initial setup costs.

Trade License renewal, workspace, residency renewal, accounting, taxation, and banking services are among the ongoing expenses that may arise after the company has been established.

What Is the Corporate Tax Rate in Dubai?

One of the concepts that is sometimes incorrectly associated with company formation in Dubai is “zero tax.”

Under the UAE’s general Corporate Tax regime, taxable income up to AED 375,000 is subject to a 0% tax rate, while the portion exceeding AED 375,000 is subject to a 9% rate.

For example, if a company has Taxable Income of AED 1,000,000, the first AED 375,000 is subject to a 0% rate, while the remaining AED 625,000 is subject to a 9% Corporate Tax rate.

For Free Zone companies, the 0% rate is not automatic either.

A Qualifying Free Zone Person may benefit from a 0% tax rate on Qualifying Income, while income that does not meet the Qualifying Income requirements may be subject to a 9% tax rate.

To benefit from the Free Zone tax regime, requirements such as conducting qualifying activities, generating qualifying income, maintaining appropriate Economic Substance, complying with Transfer Pricing rules, and meeting other FTA requirements are important.

Eligible businesses may also be able to benefit from Small Business Relief for tax periods ending on or before December 31, 2026.

One of the main requirements for this relief is that Revenue for the current and relevant previous tax periods must not exceed AED 3 million. Qualifying Free Zone Persons are not eligible for this relief.

Value Added Tax in the UAE

The standard VAT rate in the UAE is 5%.

For UAE-resident businesses, VAT registration becomes mandatory when total Taxable Supplies and Imports exceed AED 375,000 during the previous 12 months or are expected to exceed this threshold within the next 30 days.

As a result, tax planning should begin at the time of company formation in the UAE rather than being postponed until after the company starts generating sales.

    UAE Residency Through Company Formation

Obtaining UAE residency through company formation is possible, but the issuance of a Trade License does not automatically result in residency.

The company is established first, after which an eligible owner or partner applies for a visa and Residence Permit through the relevant immigration pathway.

One of the official pathways currently available in Dubai is Green Residence for an Investor/Partner.

Dubai’s GDRFA states that this type of residency for an investor or partner in a commercial project may be valid for up to 5 years and can be renewed as long as the eligibility requirements continue to be met.

Documents required for this pathway may include a passport, photograph, Partnership/Memorandum of Association or Investment Contract, and Trade License.

The basic Residence Permit fee published on the official GDRFA page is AED 200. Additional charges such as Knowledge Dirham, Innovation Dirham, in-country application fees, and Delivery fees may also apply.

These figures represent only the government fees for that particular service and should not be confused with the total cost of the residency process, medical examinations, Emirates ID, or other procedures.

For larger investments, Golden Residence is another independent pathway.

For example, GDRFA states that certain corporate investors may qualify under Golden Residence requirements where the relevant capital or ownership stake has a value of at least AED 2 million.

Therefore, claims such as “every company formation automatically provides 10-year residency” or “residency without any conditions” should not be used as the basis for making a decision.

Opening a Corporate Bank Account After Company Formation in Dubai

After receiving the company license, an application can be submitted for opening a corporate bank account in Dubai. However, company formation in Dubai does not guarantee bank account approval.

Banks assess applications based on the ownership structure, type of business activity, countries involved in transactions, source of capital, contracts, projected turnover, and the bank’s internal Compliance policies.

In practice, having a clearly defined business activity, an explainable Business Model, contracts or other evidence of commercial activity, a professional website, and Source of Funds documentation can make the banking application more transparent.

This issue is particularly important for Iranian applicants because, before choosing a bank, it is necessary to assess whether the bank can provide services to the proposed structure and to understand its specific Compliance restrictions.

Receiving a Trade License alone should not be considered equivalent to having a “guaranteed bank account.”

Some Free Zones provide Banking Support services, but even in these cases, the final decision regarding account opening remains with the bank.

Meydan Free Zone also emphasizes in its official information that final bank account approval is subject to the bank’s policies and Compliance procedures.

Company Formation in Dubai for Iranians: What Should You Consider?

Under commercial company law, Iranian nationality by itself does not create a general prohibition on owning a company engaged in permitted business activities, and the UAE’s foreign ownership framework allows full foreign ownership of many companies.

However, for an Iranian applicant, some of the most important considerations often arise after the Trade License has been issued.

Banks, Payment Gateways, foreign suppliers, and business counterparties may apply additional scrutiny to Compliance, Source of Funds, and money transfer arrangements.

For this reason, the company’s selected business activity should reflect its actual operations rather than simply being chosen to obtain the cheapest available license.

The activity registered on the Trade License should be consistent with the company’s website, contracts, invoices, and transactions.

The payment and revenue collection structure should also be planned before setting up a company in Dubai.

If your business model depends on Stripe, an international Payment Gateway, a Merchant Account, or a particular bank, the requirements of that service should be reviewed first, and the appropriate company structure should then be selected accordingly.

It is also important to distinguish between legally establishing a company and obtaining practical access to international financial services.
